| About Us FINCOMsm, INC. was founded in August of 1986 as a successor to a management consulting practice established in November of 1985 by Mr. Arthur P. Goldenberg. Mr. Goldenberg previously had held a variety of positions in financial management, planning and corporate development with two significant New York Stock Exchange listed companies. Assignments Undertaken A major portion of FINCOM's efforts have been dedicated to the sale of medium sized, privately owned businesses. Some public corporations also have been assisted in the sale of divisions or subsidiaries. Sales of businesses are normally undertaken on a commission basis with an initial retainer paid at the undertaking of an assignment. At the client's request FINCOMsmERROR MSG has provided assistance on a consulting fee basis. FINCOMsm also represents buyers seeking to acquire ongoing businesses. These activities may be restricted to a specific situation or may require the conduct of a wide ranging search. FINCOMsm has conducted preliminary investigations of purchase opportunities for clients on a fee basis. FINCOMsmERROR MSG has developed its own proprietary computer models that are used not only in conjunction with it's M&A activities, but also on a fee basis by clients interested in analyzing business opportunities, developing plans or controlling operations. FINCOM's pure consulting assignments primarily have been in the area of financial management and strategic planning. These have included thorough reviews of client financial management and computer systems, acting as a part time interim CFO and assisting in recruitment of financial executives. FINCOMsm also has assisted companies and individuals seeking equity capital to expand existing businesses or fund new ventures. FINCOMsm has an equipment department that brokers used plants and equipment. FINCOMsm has representative offices in Bethlehem, PA and Rochester, NY and is a member of IMAP, International Merger & Acquisition Professionals, which consists of 35 affiliated firms with offices nationwide and in Canada and Mexico and with 6 affiliated firms in Europe.
